Welcome to CHEX Chiropractic Exchange (CHEX DC). By accessing or using our platform, you agree to comply with and be bound by the following terms and conditions. Please review them carefully. If you do not agree with these terms, you should not use our services.

Definitions "We," "us," "company," "brokers," "consultants" shall be referred to as CHEX DC or Chiropractic Exchange. "You," "they," "user," "users," "seller," "buyer" shall be referred to as the User. Services Provided CHEX DC is an online chiropractic practice for sale by owner (FSBO) platform designed to connect chiropractors who want to sell and buy chiropractic businesses. We provide business sales tools, guidance, and technical support to our users. However, all sales transactions are conducted between the seller and the buyer, or users. We do not represent either party as brokers. All transactions are For Sale By Owner (FSBO). All users are advised to seek advisors that are common with business sales, such as but not limited to an attorney, accountant, broker, or real estate agent. We are not a replacement for your attorney, accountant, real estate agent, or broker.

User Responsibilities: Valuations and Negotiations: Users are solely responsible for conducting their own valuations, negotiations, and due diligence. CHEX DC does not provide valuation services. We do provide a general practice analysis, but this is not a formal business valuation. Contracts and Legalities: All contractual and legal matters related to the sale are the complete responsibility of the users. CHEX DC does not engage in legal, accounting, broker, or real estate services. We give Users the option to utilize contract templates to help facilitate the sale. However, these contract templates are completed by Users and Users decide what terms they will include in these templates. Accuracy of Information: Users must ensure that all information provided on the platform is accurate and truthful. CHEX DC is not responsible for any inaccuracies or misrepresentations. FSBO Understanding: Users agree that they fully understand that all transactions with our company are For Sale By Owner (FSBO) transactions. While we may match a seller and buyer with a lender or finance broker, we do not provide financial services of any kind and we do not charge a fee to simply match Users with a lender or lender/finance broker. 

Online Content Disclaimer

Opinions, advice, statements, offers, or other information or content made available through the Service, but not directly by the Site, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. We do not guarantee the accuracy, completeness, or usefulness of any information on the Site or the Service, nor do we adopt nor endorse, nor are we responsible for, the accuracy or reliability of any opinion, advice, or statement made by other parties. We take no responsibility and assume no liability for any User Content that you or any other user or third party posts or sends via the Service. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY OR REPRESENTATION THAT ACCESS TO OR OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ASSUME FULL RESPONSIBILITY AND RISK OF LOSS RESULTING FROM YOUR DOWNLOADING AND/OR USE OF FILES, INFORMATION, CONTENT, OR OTHER MATERIAL OBTAINED FROM THE SERVICE. Limitation of Damages; Release

TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SITE, THE SERVICE, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES, OR ITS LICENSORS OR PARTNERS, BE LIABLE TO YOU FOR ANY LOSS OF PROFITS, USE, OR DATA, OR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, HOWEVER ARISING, THAT RESULT FROM: (A) THE USE, DISCLOSURE, OR DISPLAY OF YOUR USER CONTENT; (B) YOUR USE OR INABILITY TO USE THE SERVICE; (C) THE SERVICE GENERALLY OR THE SOFTWARE OR SYSTEMS THAT MAKE THE SERVICE AVAILABLE; OR (D) ANY OTHER INTERACTIONS WITH US OR WITH ANY OTHER USER OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS LIMIT OR DO NOT PERMIT DISCLAIMERS OF LIABILITY, SO THIS PROVISION MAY NOT APPLY TO YOU.

If you have a dispute with one or more users, a company, bank, attorney, accountant, real estate agent, or a merchant of a product or service that you review using the Service, you release us (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Fees and Payments: Consulting Fees: Our fees are adjusted at fair market value for business consulting. We do not charge commissions on sales transactions. Payment Terms: Fees are due as specified in our pricing plans and must be paid promptly. Failure to pay may result in suspension or termination of your account. We have a no refund policy.

Limitation of Liability: No Liability for Transactions: CHEX DC is not liable for any issues arising from transactions between users, including but not limited to disputes, misrepresentations, or financial losses.

No Warranty: Our platform is provided "as is" without any warranties of any kind, either express or implied. User Conduct: Users agree to use the platform in a lawful manner and not to engage in any activity that could harm the platform or other users. This includes, but is not limited to, uploading malicious software, spamming, or attempting to access unauthorized areas of the site. Termination: CHEX DC reserves the right to terminate or suspend any user's access to the platform without notice for any reason, including but not limited to breach of these terms and conditions. Changes to Terms: We may modify these terms and conditions at any time. Any changes will be posted on this page, and your continued use of the platform constitutes your acceptance of the new terms.
